Diginex backs Resulticks deal to build AI enterprise platform

Diginex shareholders approved the all-share Resulticks combination with 98.8% of votes, pending Nasdaq listing approval for the merged entity.

Diginex Limited (NASDAQ: DGNX) has secured shareholder approval for its proposed all-share combination with Resulticks Global Companies, clearing a significant milestone toward the creation of what the London-headquartered company describes as a global AI-powered enterprise intelligence platform. The vote, held at an Extraordinary General Meeting on 8 October 2026, returned 98.8% of votes cast in favour of the transaction.

The deal, first announced in June 2025, will merge Diginex's ESG, sustainability and compliance tooling with Resulticks' real-time customer engagement platform. The combined entity will issue 600 million new Diginex ordinary shares to Resulticks shareholders as consideration, subject to a ten-for-one share consolidation that takes effect only on closing. The transaction still requires Nasdaq approval of the combined company's initial listing application, alongside satisfaction of remaining regulatory and third-party consents and previously disclosed funding conditions.

The deal

Resulticks, headquartered in Singapore, reported revenue of US$150 million for its fiscal year 2025, giving the combination a meaningful commercial anchor from day one. The company serves large enterprise brands across North America, Asia, the Middle East and Latin America, and its flagship product is Genie, an agentic AI platform designed for real-time customer decisioning and omnichannel orchestration.

Diginex's own portfolio spans ESG reporting, carbon accounting, supply chain traceability and human rights remediation tools, marketed under product names including Plan A, Lumen and Apprise. The strategic thesis is that verified sustainability data, already flowing through Diginex's platform, can be combined with Resulticks' real-time AI engagement layer to create a single enterprise intelligence offering that addresses both regulatory compliance and customer growth objectives.

Upon completion, Redickaa Subrammanian, co-founder and chief executive of Resulticks, will lead the combined company. Diginex chairman Miles Pelham will step down and the board will be reconstituted with directors designated by Resulticks' shareholders.

Market context

The combination sits at the intersection of two distinct but fast-growing software categories. Enterprise ESG reporting software has been pulled into the mainstream by tightening disclosure requirements, including the EU's Corporate Sustainability Reporting Directive, the SEC's climate disclosure rules and the IFRS Sustainability Disclosure Standards now adopted in several jurisdictions. Vendors including Workiva, Watershed and Persefoni compete in this space alongside the advisory arms of the large accountancy firms.

Real-time customer data and engagement platforms represent a separate, more mature market, with Salesforce Marketing Cloud, Adobe Experience Platform and a range of specialist CDP vendors already serving the enterprise segment. The claim that sustainability data and customer engagement belong on a single platform is a relatively novel positioning, and the combined company will need to demonstrate cross-sell traction and genuine product integration to justify it.

Nasdaq listing approval is not guaranteed, and the company's own forward-looking statements include the explicit caveat that the transaction may not complete on the described terms or at all. Investors will be watching the listing application outcome closely, given that a failure to list would materially alter the combined company's capital-market access and the liquidity available to Resulticks' shareholders under the all-share structure.
