Green AI Cloud to go public via SPAC at $300m pre-money valuation
Green AI Cloud, a Stockholm-headquartered AI infrastructure company focused on renewable-energy-powered data centres, has agreed a business combination with Pioneer Acquisition I Corp (Nasdaq: PACH), a special purpose acquisition company. The deal values Green AI Cloud at a pre-money equity value of $300 million and implies a pro forma enterprise value of approximately $525 million, assuming no redemptions by Pioneer's existing public shareholders. The transaction is expected to close in the second quarter of 2027, subject to shareholder approval and customary regulatory conditions.
The combined company is expected to list on the Nasdaq Stock Market. Green AI Cloud's founder and chief executive, Jacob Bostrom, is anticipated to continue leading the business after closing, alongside the existing management team.
The deal
Green AI Cloud currently operates across three sites in Sweden, with the company describing a longer-term development pipeline it says could support multi-gigawatt capacity. Its model centres on adaptive reuse of legacy industrial real estate, liquid-cooling systems, and a 100% renewable energy supply drawn from solar, hydro and wind sources. Waste heat from AI server operations is recovered into regional district-heating networks, which the company says results in a net-negative carbon footprint, although it acknowledges the methodologies and assumptions behind that claim may differ from those used by others.
The platform provides access to NVIDIA GPU accelerators and is positioned as infrastructure for training large generative AI models. Enterprise customers are offered what the company describes as carbon-intelligent compute, combining GPU-class performance with assured renewable energy sourcing.
Proceeds from the transaction are intended to fund development at existing sites, expansion into new markets, and potential acquisitions.
Market context
The timing reflects a broader tightening in European AI data centre capacity. Power availability has become the primary constraint on data centre site selection across the continent, with utility interconnection queues running years long in established markets such as Frankfurt, Amsterdam, Dublin and London. Sweden offers structural advantages: abundant hydroelectric power, a cool climate that reduces cooling costs, and a relatively permissive grid interconnection environment.
The European data centre market was valued at around $52 billion in 2025 and is forecast to reach approximately $140 billion by 2031, according to figures cited in the release. Green AI Cloud sits within a growing cohort of European operators competing on sustainability credentials and power access, including established Nordic peers and a number of well-funded pan-European developers targeting hyperscaler and enterprise AI workloads.
The SPAC vehicle, Pioneer Acquisition I Corp, is a blank-cheque company with a business combination deadline of 20 June 2027. Redemption risk is material: if Pioneer's public shareholders elect to redeem their shares at scale, the combined company may be left with insufficient capital to execute its site development plans. The deal has received a fairness opinion from Pioneer's board but has not yet been reviewed or approved by the SEC.
Regulatory read-across
Operating in Sweden and targeting broader European expansion places Green AI Cloud squarely within the EU's evolving AI infrastructure regulatory environment. The EU AI Act's general-purpose AI provisions, the NIS2 directive's requirements for critical digital infrastructure, and the European Commission's push for data sovereignty will all bear on enterprise customers evaluating whether to run sensitive AI workloads on the platform. Green AI Cloud's emphasis on data sovereignty is commercially relevant here: European enterprises, particularly in financial services, healthcare and public sector, are under growing pressure to keep AI training and inference within EU jurisdiction.
For investors, the key near-term milestones will be the volume of Pioneer shareholder redemptions ahead of the vote, the disclosure of named enterprise customers, and independent verification of the net-negative carbon footprint claim as the company prepares its SEC registration statement on Form S-4.
